RE: XP to Vista Ultimate Upgrade
Going from 32 to 64bit requires a clean install, in one go(A full version
disk!)!
You can not upgrade.
If you were doing an XP 32bit to Vista 32bit you could run an upgrade disk
from inside a running XP, then redo it again to get a clean install, which is
not condoned by MS anyway.
