Moving Windows Vista to a different computer

I bought Windows Vista Ultimate a while ago for my laptop, but now want to
move it over to my new PC and revert to XP on the laptop. When I reformat the
laptop's hard drive, will I be able to activate Windows Ultimate on my PC?
Currently when I go to activate it says the key is still in use.
