You can do a clean install. No need for 64Bit XP to be installed.

Re: Windows xp 32 bit to windows vista 65 bit
You would have to boot with the 64 bit DVD. 64 bit setup cannot be started
from the 32bit desktop.

Re: Windows xp 32 bit to windows vista 65 bit
I got my 64bit vesion in the mail today (upgraded from 32bit home to 64bit
home). However...no instructions on how to install! I tried from desktop,
doesnt work, but botting from windows startup worked, BUT there's no CD key
that came with it...so do I use the cd key I have for windows home 32?

Yes the one key will work for either the 32bit or 64bit. Only one can be
installed at a time. There is no in place upgrade path from 32bit to 64bit.
