Cannot shutdown/log off/restart after upgrading to IE8

I merely upgraded to IE8 (XP) and now whenever I run Internet Explorer, I
cannot shutdown, log off, or restart - I have to power down. The funny
thing is, I can do those things if I have the IE window open, but after I
close IE, then I cannot.

What is IE doing causing me to hang at shutdown?

1. Does the behavior persist if you start IE in No Add-ons mode? To start
IE in No Add-ons mode:

=> Right-click on the blue IE desktop icon and select Start without
Add-ons; or

=> Start | (All) Programs | Accessories | System Tools | Internet
Explorer (No add-ons).

2. Does the behavior persist if you Reset IE Advanced settings (RIES)?

3. What anti-virus application or security suite is installed, is your
subscription current, and is it supported in IE8? What anti-spyware
applications (other than Defender)? What third-party firewall (if any)?
Were any of these applications running in the background when you installed
IE8?

4. Has a(nother) Norton or McAfee application ever been installed on this
machine (e.g., a free-trial version that came preinstalled when you bought
it)?

5. Just asking for now!! Do NOT use such a Restore Point yet!! => Do you
have an available Restore Point which predates the install of IE8?

Yes I did also want to mention in addition to upgrading to IE8 I then
installed XP SP3.

I ran the appropriate tests you requested and....

Resetting Advanced Settings doesn't change the behavior for me but after
running IE in No-Addons mode, I am able to Log Off.

So where to go from here? I tried disabling the Addons using regular IE but
still get same behavior. Is there more to disable?

(As far as Firewall/Antivirus, I am running none of these 3rd Party programs
what would affect the behavior, and I wasn't running them when I installed IE
or SP3. )

UPDATE: I continued fiddling with adding/removing active X objects or
Addons and found out that whenever the Adobe Shockwave Flash object was added
to IE Addons, the problem persisted. So if I uninstalled Flash player and
restarted, Windows will shutdown properly after using IE. This is great,
but I kind of want to be able to use these Addons, what now?

You do not have an anti-virus application installed?

You may have outdated versions of Flash Player and Shockwave Player
installed. This test page should help you get the current versions
